RESOLUTION TO AMEND PHILADELPHIA BAR ASSOCIATION BYLAWS ARTICLE IV TO CLARIFY IMPORTANT DATES IN BAR ELECTIONS

WHEREAS, robust participation by Members of the Philadelphia Bar Association as candidates for election as officers and members of the Board of Governors is critical to the success of this organization; and

WHEREAS, Section 406D of the Philadelphia Bar Association Bylaws currently provides that the Board of Governor shall determine the date when voting shall commence, which varies from year to year; and

WHEREAS, various Sections in Article IV of the Bylaws set deadlines for election events according to a specified number of days counting backwards from the date that is decided each year for the commencement of voting; and

WHEREAS, the Board of Governors believes that the current method of establishing deadlines for important election events causes confusion which may discourage potential candidates from seeking office; and

WHEREAS, the Board of Governors has determined that these Bylaw amendments shall be proposed to the Members to provide for specific deadline dates for important events in the election of officers and members of the Board of Governors.

NOW THEREFORE, BE IT RESOLVED, that the Board of Governors approves amendments to Article IV of the Philadelphia Bar Association Bylaws as shown on the attached blacklined version for submission to the Members in accordance with the provisions of Section 1101 of the Bylaws.

AND BE IT FURTHER RESOLVED, the text of the proposed amendments shall be published in accordance with the provisions of Section 1100(A) of the Bylaws.
