PHILADELPHIA BAR ASSOCIATION RESOLUTION APPROVING AMENDED AND RESTATED BYLAWS

WHEREAS, in February of 2016, then-Chancellor Gaetan Alfano convened a Bylaws Committee to conduct a comprehensive review of the Association’s Bylaws, which had not been substantially revised in over twenty-five years, in order to determine whether any existing provisions should be updated or revised; and

WHEREAS, over a two and one half year period, under the direction of Chancellor Alfano, his successor, Chancellor Deborah Gross and her successor, Chancellor Mary Platt, the Bylaws Committee conducted such a review; and

WHEREAS, the Bylaws Committee prepared a detailed preliminary draft of proposed amendments to the Bylaws and solicited comments from the Young Lawyers Division, Sections, Committees and members of the Association; and

WHEREAS, the Bylaws Committee considered all comments received and prepared a revised draft of proposed amended and restated Bylaws; and

WHEREAS, the Board of Governors has considered the Bylaws Committee’s revised draft of proposed amended and restated Bylaws and additional changes,

NOW, THEREFORE, BE IT RESOLVED that the Board of Governors hereby approves an amended and restated set of Bylaws as shown on the attached document, and approves the submission of these amended and restated Bylaws to the Members in accordance with Section 1100.A.1 of the existing Bylaws;

AND BE IT FURTHER RESOLVED that the amended and restated Bylaws be published and submitted to the Members for their approval, in accordance with Section 1100.B of the existing Bylaws.
