RESOLUTION TO AMEND PHILADELPHIA BAR ASSOCIATION BYLAWS ARTICLE V TO PROVIDE THE BOARD OF GOVERNORS WITH THE AUTHORITY TO DETERMINE MEMBER DUES
WHEREAS, the practice of law is undergoing a period of intensive transformation driven by, among other things, developments in technology, social and economic change and evolving client expectations; and
WHEREAS, the Philadelphia Bar Association must be nimble in all respects, including in its dues structure, to be responsive to these changes and be attractive to current and future members; and
WHEREAS, current Bylaws Article V, Section 500 sets forth a detailed, rigid structure for Member dues that, with limited exceptions, may only be changed by amending the Bylaws; and
WHEREAS, it is the practice of metropolitan bar associations throughout the country for their Bylaws to vest authority in their governing body to set dues; and
WHEREAS, the Board of Governors believes that having the ability to determine dues among the classes of membership on an annual basis will give the Association flexibility to respond to the needs of a changing profession; and
WHEREAS, the Board of Governors has determined that Bylaw amendments shall be proposed to the Members to provide the Board of Governors with the authority on an annual basis to determine the calendar year dues of each class of membership.
NOW THEREFORE, BE IT RESOLVED, that the Board of Governors approves amendments to Article V of the Philadelphia Bar Association Bylaws as shown on the attached black lined version for submission to the Members in accordance with the provisions of Section 1101 of the Bylaws.
AND BE IT FURTHER RESOLVED, the text of the proposed amendments shall be published in accordance with the provisions of Section 1100(A) of the Bylaws.
