RESOLUTION TO AMEND PHILADELPHIA BAR ASSOCIATION BYLAWS ARTICLE IV TO PROVIDE FOR INTERNET VOTING IN BAR ELECTIONS

WHEREAS, robust participation by Members of the Philadelphia Bar Association in the election of officers and members of the Board of Governors is critical to the success of this organization; and

WHEREAS, the Board of Governors seeks to increase Member participation in bar elections; and

WHEREAS, Act 67 of 2013 amended the Pennsylvania Nonprofit Corporation Law of 1988, 15 PA. C.S. §§5101, et seq., and removed impediments to election of officers and non-profit board members by Internet voting; and

WHEREAS, Section 406 of the Bylaws currently provides for voting electronically over the Internet to the extent permitted by law; and

WHEREAS, the Board of Governors believes that election of officers and members of the Board of Governors by Internet voting will increase participation in bar elections by making voting easier and more convenient; and

WHEREAS, the Board of Governors believes that in-person voting or voting by mail is no longer necessary if Internet voting is permitted and that elimination of in-person voting and voting by mail will result in significant cost savings to the Association; and

WHEREAS, the Board of Governors has determined that Bylaw amendments shall be proposed to the Members to provide for the election of officers and members of the Board of Governors by Internet voting.

NOW THEREFORE, BE IT RESOLVED, that the Board of Governors approves amendments to Article IV of the Philadelphia Bar Association Bylaws as shown on the attached black lined version for submission to the Members in accordance with the provisions of Section 1101 of the Bylaws.

AND BE IT FURTHER RESOLVED, the text of the proposed amendments shall be published in accordance with the provisions of Section 1100(A) of the Bylaws.
